PUBLIC AGREEMENT (OFFER)

for the ordering and issuance of tickets

This agreement is an official and public offer from the Seller to conclude a service agreement for the issuance of tickets, as presented on the website newtrans.com.ua/main. This agreement is public, meaning that in accordance with Article 633 of the Civil Code of Ukraine, its terms are the same for all buyers regardless of their status (individual, legal entity, individual entrepreneur), without giving preference to one buyer over another.

By concluding this Agreement, the Buyer fully accepts the terms and procedures for placing an order, paying for tickets, canceling or changing a reservation, responsibility for the misuse of services, and all other terms of the agreement.

The agreement is considered concluded from the moment the "Confirm Order" button is clicked on the ticket booking page and the Buyer receives confirmation from the Seller in electronic form.

1. Definitions of Terms

1.1. Public Offer (hereinafter referred to as the "Offer") – a public proposal from the Seller addressed to an indefinite circle of individuals to conclude an agreement with the Seller for the provision of ticket issuance services remotely (hereinafter referred to as the "Agreement") on the terms contained in this Offer.

1.2. Service – the subject of the agreement between the parties, which consists of providing the Buyer with the ability to book or issue tickets for vehicles available on the Seller's website.

1.3. Website – the Seller's web resource at newtrans.com.ua/main, created for the purpose of informing customers about the list of services and enabling their orders via the Internet.

1.4. Buyer – a legally capable individual who has reached the age of 18, receives information from the Seller, orders services through the Website, or a legal entity or individual entrepreneur who uses the services for their own purposes.

1.5. Seller – Limited Liability Company "Nova Trans" (identification code 43006189), a legal entity created and operating in accordance with the current legislation of Ukraine, located at: Odesa region, Bolhrad district, town of Artsyz, 28 June St., building 97.

2. Subject of the Agreement

2.1. The Seller undertakes to provide the Buyer with the service of ticket issuance and booking, and the Buyer undertakes to pay for and use the service under the terms of this Agreement.

2.2. The date of conclusion of the Agreement-offer (acceptance of the offer) and the moment of full and unconditional acceptance of the terms of the Agreement by the Buyer is considered the date the Buyer fills out the order form on the Website, provided that the Buyer receives order confirmation from the Seller in electronic form. If necessary, upon the Buyer's request, the Agreement may be executed in writing.

3. Ordering

3.1. The Buyer independently places an order through the form on the Website or contacts the Seller via email or by phone, as indicated in the "Contacts" section of the Website.

3.2. The Seller has the right to refuse to process an order if the information provided by the Buyer during the order placement is incomplete or raises doubts about its authenticity.

3.3. When placing an order on the Website, the Buyer is required to provide the following mandatory information:

3.3.1. Surname and first name of the Buyer;

3.3.2. Contact phone number;

3.4. The selected seats, number of tickets, price, and other service parameters are displayed in the Buyer’s order on the Website.

3.5. If additional information is required to fulfill the order, either party has the right to request it from the other party. If the Buyer fails to provide the necessary information, the Seller is not responsible for the inability to fulfill the order.

3.6. When placing an order through the Seller's operator (as per section 3.1 of this Offer), the Buyer must provide the information specified in sections 3.3 to 3.4 of this Offer.

3.7. Acceptance of the terms of this Offer by the Buyer is made by entering the relevant data into the form on the Website or when placing the order through the operator. After placing the order, the Buyer’s data is entered into the Seller's database.

3.8. The Buyer is responsible for the accuracy of the information provided when placing the order.

3.9. By entering into the Agreement, i.e., agreeing to the terms of this Offer by placing an order, the Buyer confirms the following:

a) The Buyer is fully familiar with and agrees to the terms of this Offer;

b) The Buyer consents to the collection, processing, and transfer of their personal data. The consent for processing personal data is valid throughout the term of the Agreement and for an unlimited period after its conclusion. By entering into the Agreement, the Buyer confirms that they are aware (without additional notification) of their rights as defined by the Law of Ukraine "On the Protection of Personal Data", the purposes of collecting personal data, and that their personal data will be transferred to the Seller to fulfill the terms of this Agreement, to ensure settlement transactions, to receive confirmations and receipts, and other documents. The Buyer also agrees that the Seller has the right to transfer their personal data to third parties without additional notification, exclusively for the fulfillment of the order's conditions. The Buyer is aware of their rights as a personal data subject under the Law of Ukraine "On the Protection of Personal Data" and fully understands them.

4. Ticket Price

4.1. The prices for tickets and additional services are determined by the Seller independently and are specified on the website. All prices are quoted in hryvnias, including VAT.

4.2. The prices for tickets and services may be changed by the Seller unilaterally depending on market conditions. However, the price of a ticket that has been fully paid by the Buyer cannot be changed unilaterally.

4.4. The Seller may provide an estimated cost for ticket delivery upon the Buyer's request via email or when placing the order through the operator.

4.5. The Buyer's obligation to pay for the tickets is considered fulfilled when the funds are received by the Seller.

5. Rights and Obligations of the Parties

5.1. The Seller is obliged to:

5.1.1. Provide the Buyer with tickets in accordance with the terms of this Agreement and the confirmed order of the Buyer.

5.1.2. Not disclose the Buyer’s private information or provide access to this information to third parties, except in cases provided by current legislation and necessary for fulfilling the Buyer’s order.

5.2. The Seller has the right to:

5.2.1. Modify the terms of this Agreement, as well as the prices for tickets and services, unilaterally by publishing such changes on the website. All changes take effect upon their publication.

5.3. The Buyer is obliged to:

5.3.1. Familiarize themselves with the content of this Agreement, its terms, and the prices for tickets and services published on the website before entering into the Agreement.

5.3.2. Provide accurate information necessary for the identification of the Buyer and ticket issuance (name, contact details, route, etc.) to enable the Seller to fulfill its obligations.

6. Ticket Return

6.1. Conditions for ticket returns in case of cancellation:

Less than 24 hours before departure, no refund is given.

More than 24 hours before departure, a 50% refund is given.

More than 72 hours before departure, a 90% refund is given.

In cases of cancellation of the trip, failure to provide a seat on the bus, a 100% refund is given.

6.2. Refund for unused tickets will be made within 30 (thirty) calendar days from the date the Buyer submits the relevant request, provided the necessary documents and confirmations as required by the current legislation of Ukraine are submitted.

6.3. The ticket price will be refunded to the Buyer via bank transfer to the account specified by the Buyer.

6.4. In the case of ticket return, the Buyer will bear any costs associated with bank commissions or other technical expenses, if any.

6.5. If the Buyer identifies errors in the ticket issued by the Seller (incorrect details, dates, or routes), the Seller is obliged to make necessary corrections or refund the full amount.

6.6. The ticket return procedure is carried out by contacting the Seller. Contact information for communication can be found in the "Contacts" section of the website.

7. Liability

7.1. The Seller is not liable for any damages caused by the Buyer or third parties due to improper use, loss, or transfer of tickets to third parties.

7.2. The Seller is not liable for delays or failure to fulfill obligations if the Buyer provides inaccurate or erroneous information necessary for ticket issuance.

7.3. Both the Seller and the Buyer are obligated to comply with the terms of this Agreement and are responsible for failure to do so in accordance with the current legislation of Ukraine.

7.4. The Seller and the Buyer are exempt from liability for full or partial non-performance of their obligations due to force majeure circumstances, such as military actions, natural disasters, technological accidents, or other emergency events that occur independently of the will of the Parties after the conclusion of this Agreement. In such cases, the Party unable to fulfill its obligations must promptly notify the other Party of the occurrence of such circumstances.

8. Confidentiality and Protection of Personal Data

8.1. By providing personal data on the website during registration or ticket order, the Buyer gives their voluntary consent to the Seller for the processing, use (including transfer) of their personal data in order to properly fulfill the obligations under this Agreement, as well as for other actions provided by the Law of Ukraine "On Personal Data Protection." The consent is given without a time limit unless otherwise provided by applicable law.

8.2. The Seller undertakes not to disclose the personal data received from the Buyer, except when necessary to fulfill the order or as required by the legislation of Ukraine. The transfer of data to third parties, who act based on agreements with the Seller to ensure the fulfillment of the Buyer's order, is not considered a breach of confidentiality.

8.3. The Buyer is responsible for the accuracy and up-to-date nature of the provided personal data. The Seller is not liable for non-fulfillment or improper fulfillment of obligations if the data provided by the Buyer is inaccurate, outdated, or false.

9. Other Terms

9.1. This Agreement is concluded on the territory of Ukraine and is governed by the applicable legislation of Ukraine.

9.2. All disputes that arise between the Buyer and the Seller shall be resolved through negotiations. If the dispute cannot be resolved through negotiations, the Buyer and/or the Seller have the right to refer the dispute to judicial authorities in accordance with the applicable legislation of Ukraine.

9.3. The Seller has the right to make changes to this Agreement unilaterally as provided in clause 5.2.1 of the Agreement. Additionally, changes to the Agreement can also be made by mutual consent of the Parties, in accordance with the applicable legislation of Ukraine.
